Kapeeto OG – Terms of Use

• 1. Acceptance of Terms

  By accessing or using the Kapeeto platform (“Platform”), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not use the Platform.

• 2. Platform Description

  Kapeeto allows registered users (“Creators”) to upload educational content (documents, podcasts, videos, etc.) and transform it into interactive learning courses using advanced AI tools. Learners may subscribe to access these courses. Kapeeto OG provides the infrastructure, tools, and interfaces to facilitate this interaction.

• 3. User Accounts

  You are responsible for:

  • Providing accurate and current information.
  • Maintaining the confidentiality of your login credentials.
  • All activity on your account.

  Kapeeto reserves the right to suspend or terminate accounts that violate these terms.

• 4. Use of the Platform

  You agree to use the Platform only for lawful purposes and in accordance with all applicable laws. You shall not:

  • Reverse-engineer or decompile any software used by the Platform.
  • Interfere with or disrupt the operation of the Platform.
  • Upload or share harmful, unlawful, infringing, or inappropriate content.
• 5. Data Protection and Privacy

  5.1 GDPR Compliance

  Kapeeto OG is fully compliant with the General Data Protection Regulation (GDPR). We process personal data as a data controller in accordance with our Privacy Policy.

  5.2 Third-Party Data Processors

  Kapeeto OG uses carefully vetted data processors to operate and enhance the platform:

  • OpenAI – for AI-driven content generation
  • Stripe – for secure payment processing
  • Hostinger – for platform hosting and infrastructure

  Each processor is bound by GDPR-compliant Data Processing Agreements (DPAs) and Standard Contractual Clauses (SCCs), where applicable.

  5.3 Your Consent

  By using the Platform, you:

  • Consent to the processing of your personal data as described in our Privacy Policy;
  • Acknowledge that subprocessors may handle your data in accordance with strict legal and security obligations.

  5.4 Security

  We implement strong technical and organizational measures including:

  • End-to-end encryption of data transmissions
  • Regular backups
  • Role-based access controls
  • Activity logging and anomaly detection
  • Periodic audits and vulnerability scans
• 6. Copyright and Content Upload

  6.1 User Responsibility and Representation

  By uploading, submitting, or otherwise transmitting any content to the Kapeeto platform (“User Content”), you confirm and expressly warrant that:

  • You are the sole and rightful owner of all intellectual property rights in such content; or
  • You have obtained valid, written authorization from the rightful owner(s).

  You agree to provide documentation of such ownership or permission upon request.

  6.2 Limited License to Kapeeto

  By uploading User Content, you grant Kapeeto OG a non-exclusive, worldwide, royalty-free, sublicensable license to:

  • Host, use, reproduce, adapt, translate, modify, distribute, publicly display, and create derivative works from the User Content,
  • Solely for the purposes of providing, improving, marketing, and operating the platform and its services.

  This license terminates upon deletion of the content or account, except where retention is required by law.

  6.3 Warranties and Indemnification

  You agree to fully indemnify, defend, and hold harmless Kapeeto OG from any and all claims, damages, liabilities, or legal actions arising from:

  • A breach of your warranties in 6.1,
  • Unauthorized use of third-party content,
  • Any IP rights claim related to your uploads.

  6.4 Platform Disclaimer

  Kapeeto OG acts as a neutral hosting and processing platform. It does not review or verify User Content. Responsibility for legality and originality lies solely with the user.

  6.5 Limitation of Liability

  To the fullest extent permitted by law, Kapeeto OG disclaims liability for:

  • Use or misuse of user-uploaded content;
  • AI-generated outputs derived from such content;
  • Third-party misuse of platform features.

  Maximum liability is limited to the lesser of:

  • EUR 500; or
  • Total fees paid to Kapeeto OG in the 12 months prior to the claim.

  6.6 EU Copyright Compliance (Directive 2019/790)

  Kapeeto OG complies with the EU Copyright Directive. We:

  • Act upon verified takedown requests;
  • Implement content safeguards;
  • Remove infringing material promptly upon notice.

  6.7 Takedown Procedure

  Submit takedown requests to: legal@kapeeto.com
  Include:

  • Description of the original work
  • Location of the infringing material
  • Statement of good faith
  • Contact information and signature

  6.8 Repeat Infringer Policy

  Accounts with multiple valid copyright violations may be suspended or terminated.

• 7. Monetization, Subscriptions, and Marketplace Use

  7.1 Creator Monetization and Payouts

  Creators may monetize courses via learner subscriptions.

  • Revenue is passed through (minus Stripe fees)
  • Stripe Connect manages payouts
  • Identity verification is required
  • Future platform fees may be introduced with notice

  7.2 Learner Subscriptions and Access

  Learners may subscribe to creators. Subscriptions auto-renew monthly.

  • Access is tied to active payment
  • Cancellation revokes access

  7.3 Refund and Cancellation Policy

  • Refunds available within 7 days if no substantial content was accessed
  • Post-7-day refunds evaluated case-by-case
  • Stripe policies apply to timing and eligibility

  7.4 Dispute Resolution Between Creators and Learners

  Kapeeto OG is not liable for course content or learning outcomes.
  Disputes must be resolved between users. Kapeeto may offer informal mediation.

  7.5 Content Review, Moderation, and Public Listings

  • Public courses may be moderated
  • Kapeeto may remove content violating laws or standards
  • Private content is not reviewed unless flagged
• 8. Termination

  Accounts may be suspended or terminated at Kapeeto OG’s discretion for breach of terms.

• 9. Governing Law and Jurisdiction

  These Terms are governed by Austrian law. Venue is Vienna, Austria unless EU consumer rights require otherwise.

• 10. Changes to Terms

  We may update these Terms with notice. Continued use implies acceptance of the updated version.
